EEMO.AI Platform Terms & Conditions

Welcome to EEMO.AI, your all-in-one smart super app. These Terms and Conditions ("Terms") govern your access to and use of the EEMO.AI platform, including our website, mobile applications, and any associated services (collectively, the "Platform"). By accessing or using the Platform, you agree to comply with and be legally bound by these Terms, our Privacy Policy, and any additional terms applicable to specific services. If you do not agree to these Terms, you must not access or use the Platform.

1. DEFINITIONS

• 1.1. Platform

  The digital infrastructure provided by EEMO.AI, encompassing Marketplace, Hire Me, Events, Bookings, and Smart AI Tools modules, including all services, applications, and content provided by EEMO.AI, such as web interfaces, mobile applications, and any future formats or features.

• 1.2. User

  Any individual or entity accessing or using the Platform for personal or business purposes, including but not limited to merchants, customers, service providers, job seekers, event organizers, and agents.

• 1.3. We, Us, or Company

  Refers to EEMO.AI (Exchange Multi-Organizer) and its registered operating entity responsible for managing the Platform, located at EMO (FZC), Block B, Office - B46-125, SRTI Park, University City, Sharjah, UAE.

• 1.4. Merchant/Service Provider

  A User offering goods or services through any module on the Platform.

• 1.5. Agent

  Authorized individuals or entities facilitating EEMO.AI operations under agreed terms.

• 1.6. Account

  A registered profile used to access Platform features.

• 1.7. Content

  Any information, listing, media, message, or data uploaded or shared by a User or generated by EEMO.AI.

2. ACCEPTANCE OF TERMS

• 2.1. Binding Agreement

  By registering for an Account, browsing, or using any feature of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, which is incorporated by reference, and any additional terms related to specific services.

• 2.2. Amendments

  We reserve the right to modify these Terms at our sole discretion. We will notify Users of material changes through appropriate channels (e.g., email, in-app notifications). Your continued use of the Platform following such notification constitutes your acceptance of the revised Terms.

3. ACCOUNT REGISTRATION AND ELIGIBILITY

• 3.1. User Registration

  To access most Platform features, you must register an Account. You agree to provide accurate, complete, and up-to-date information during registration and to update such information as necessary.

• 3.2. Age Requirement

  You must be at least 18 years old or the age of majority in your jurisdiction, or have the verifiable consent of a legal guardian, to register and use the Platform. By using the Platform, you represent and warrant that you meet this eligibility requirement.

• 3.3. Account Responsibility

  You are solely responsible for maintaining the confidentiality of your Account credentials (e.g., username, password) and for all activities conducted under your Account. You agree to notify us immediately at support@eemo.ai of any unauthorized use or security breach.

• 3.4. Account Suspension or Termination

  EEMO.AI reserves the right to suspend or terminate Accounts suspected of fraudulent, abusive, or unauthorized behavior.

4. PLATFORM MODULES AND SERVICES

• 4.1. Marketplace

  • 4.1.1. A digital storefront where Merchants may list and sell goods, and Users may browse and purchase.
  • 4.1.2. Sellers must provide truthful product descriptions, ensure lawful ownership of items listed, and comply with all applicable commercial, tax, and consumer protection laws.
  • 4.1.3. Buyers must verify product details before purchasing. EEMO.AI is not liable for disputes between buyers and sellers.
  • 4.1.4. Shipping is facilitated via third-party logistics partners; delivery timelines are indicative and subject to change.

  4.2. Hire Me

  • 4.2.1. A recruitment module enabling Users to post resumes, search for jobs, and employers to shortlist candidates using intelligent filters.
  • 4.2.2. Candidates must upload genuine qualifications and experiences.
  • 4.2.3. Employers must adhere to fair and lawful hiring practices and are responsible for the accuracy of their postings.
  • 4.2.4. EEMO.AI is not a party to any employment contracts arising through the Platform.

  4.3. Events

  • 4.3.1. A module allowing organizers to create, promote, and manage public or private events, sell tickets, and handle RSVPs, while Users may explore and book events.
  • 4.3.2. Organizers must accurately list event details, pricing, and policies (e.g., ticketing, cancellations) and bear full responsibility for event details, cancellations, and ticket sales.
  • 4.3.3. Users must comply with venue and organizer policies.
  • 4.3.4. EEMO.AI is not responsible for event quality or cancellations unless explicitly hosted by EEMO.AI.

  4.4. Bookings

  • 4.4.1. A service enabling Users to book appointments, rentals, deliveries, or other offerings.
  • 4.4.2. Service Providers must honor appointments and deliver services as described in confirmed bookings.
  • 4.4.3. Users must attend scheduled appointments or cancel in advance within reasonable timelines.
  • 4.4.4. EEMO.AI is not liable for unsatisfactory service, no-shows, or provider failures unless due to a technical fault on the Platform.

  4.5. Smart AI Tools

  • 4.5.1. Proprietary AI features power all modules, providing smart categorization, location-based suggestions, real-time responses, and enhanced search capabilities.
  • 4.5.2. These tools are provided "as is" with no warranties regarding accuracy or performance.

5. PAYMENT TERMS

• 5.1. Payment Methods

  Payments may be processed through integrated services such as mobile money, credit/debit cards, or other authorized payment gateways. You agree to provide valid payment information and abide by the terms of third-party payment processors.

• 5.2. Transaction Fees

  EEMO.AI reserves the right to charge service fees, commissions, processing fees, or subscription charges for certain transactions or Account types, as detailed on the Platform and disclosed prior to confirmation. All fees are non-refundable unless otherwise stated.

• 5.3. Subscription Plans

  Subscription plans provide access to premium features, with details on the pricing page. Charges are billed monthly or annually with auto-renewal unless canceled. No refunds are issued for unused portions unless required by law.

• 5.4. Refunds

  Refunds for Marketplace purchases, Events, or Bookings are governed by the policies of Merchants or event organizers unless EEMO.AI explicitly manages the transaction.

• 5.5. Tax Responsibilities

  Users are responsible for any applicable taxes, including declaration and remittance.

6. USER RESPONSIBILITIES

• 6.1. Lawful Use

  You agree to use the Platform solely for lawful purposes and in compliance with all applicable local, regional, and international laws and regulations.

• 6.2. Prohibited Activities

  You must not:

  • 6.2.1. Impersonate any person or entity;
  • 6.2.2. Post false, misleading, harmful, discriminatory, defamatory, or illegal Content;
  • 6.2.3. Engage in unauthorized commercial use, fraudulent activities, spamming, phishing, or hacking;
  • 6.2.4. Interfere with or disrupt the Platform’s security, integrity, or infrastructure (e.g., malware distribution).

• 6.3. Content Ownership and License

  You retain ownership of Content you post on the Platform but grant EEMO.AI a worldwide, non-exclusive, royalty-free, transferable license to use, display, distribute, and modify such Content as necessary for Platform functionality and operations.

• 6.4. Compliance with Local Laws

  You must comply with all local laws, including tax, labor, and licensing requirements relevant to your use of the Platform.

• 6.5. Content Monitoring

  EEMO.AI reserves the right to monitor, remove, or restrict Content or Accounts violating these Terms or applicable law.

7. INTELLECTUAL PROPERTY

• 7.1. Ownership

  All logos, content, features, software, trademarks, design, and technology on the Platform are owned by EEMO.AI or its licensors and are protected by applicable intellectual property laws.

• 7.2. Restrictions

  You may not copy, reproduce, reverse-engineer, distribute, or exploit any part of the Platform without our prior written consent. Unauthorized use constitutes a breach of these Terms and may result in legal action.

• 7.3. User Content

  Users must not upload Content that infringes third-party intellectual property rights. EEMO.AI may remove such Content upon notice.

8. THIRD-PARTY SERVICES

• 8.1. Integration

  The Platform integrates with third-party services (e.g., Zambia Post, Kazang, Lenco, payment processors, logistics partners). We are not responsible for the availability, quality, content, actions, or omissions of these services.

• 8.2. Risk

  Your use of third-party services is at your sole risk, and interactions with these services are governed by their respective terms. Third-party links are provided for convenience only and do not imply endorsement.

9. PRIVACY AND DATA USAGE

• 9.1. Data Collection

  We collect personal and transactional data (e.g., names, emails, location, usage behavior) to provide and improve Platform services. Details are outlined in our Privacy Policy.

• 9.2. Data Use

  Your data may be used to personalize your experience, deliver AI-driven recommendations, or fulfill service obligations. We do not sell your data to third parties.

• 9.3. Data Security

  We employ industry-standard encryption, AWS-hosted environments, and regular audits to protect your data. However, you are responsible for maintaining the confidentiality of your Account credentials and protecting your data when interacting with third parties via the Platform.

• 9.4. Legal Compliance

  Data use complies with applicable laws, including but not limited to GDPR and the Zambian Data Protection Act. Users consent to data collection and use as described in the Privacy Policy by using the Platform.

10. TERMINATION

• 10.1. Suspension or Termination by EEMO.AI

  We may suspend or terminate your Account at our sole discretion if you violate these Terms, pose a legal or security risk, or fail to comply with applicable laws.

• 10.2. User-Initiated Deletion

  You may close your Account at any time by contacting support@eemo.ai. We may retain certain data as required by law or for transactional purposes.

• 10.3. Surviving Provisions

  Obligations or dues (e.g., unpaid fees) prior to termination remain enforceable. Provisions such as indemnity, limitation of liability, and dispute resolution survive termination.

11. DISCLAIMER AND LIMITATION OF LIABILITY

• 11.1. "As Is" Basis

  The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, data accuracy, or the success of transactions or interactions.

• 11.2. No Liability for Interruptions

  We do not guarantee uninterrupted, error-free, or secure access to the Platform and are not liable for any resulting losses or downtime.

• 11.3. Limitation of Liability

  To the fullest extent permitted by law, EEMO.AI, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, even if advised of the possibility of such damages. Our total liability, if any, shall not exceed the fees paid by you to EEMO.AI in the preceding 12 months.

12. GOVERNING LAW AND DISPUTE RESOLUTION

• 12.1. Governing Law

  These Terms are governed by the laws of Sharjah, United Arab Emirates, without regard to conflict of law principles.

• 12.2. Dispute Resolution

  Any disputes arising under these Terms shall first be attempted to be resolved amicably within 30 days. If unresolved, disputes shall be settled by binding arbitration in Sharjah, UAE, under the rules of the Dubai International Arbitration Centre (DIAC). The arbitration shall be conducted in English, and the arbitrator’s decision shall be final and binding.

• 12.3. Local Compliance

  Users are responsible for complying with their local laws; EEMO.AI makes no representation that the Platform is appropriate or legal in all jurisdictions.

13. USERS TERMS & CONDITIONS

• 13.1. Acceptance

  By using the Platform, you agree to these Terms, our Privacy Policy, and all applicable laws. Non-acceptance prohibits your use of the Platform.

• 13.2. Platform Features

  EEMO.AI offers:

  • 13.2.1. An e-marketplace for buying and selling goods/services;
  • 13.2.2. A "Hire Me" module for job/freelancer connections;
  • 13.2.3. Event discovery, promotion, ticketing, and management;
  • 13.2.4. Appointment and service booking functionalities;
  • 13.2.5. Built-in CRM and chat tools.

• 13.3. Eligibility and Registration

  • 13.3.1. Users must be 18 or have guardian consent.
  • 13.3.2. Registration requires accurate, verifiable information.
  • 13.3.3. We may request identity verification at any time.

• 13.4. Account Responsibilities

  • 13.4.1. Secure your credentials.
  • 13.4.2. Update profile information regularly.
  • 13.4.3. Report breaches to support@eemo.ai.
  • 13.4.4. You are liable for all Account activity.

• 13.5. Conduct

  • 13.5.1. No illegal, abusive, or unethical use.
  • 13.6.2. We are not liable for Merchant product quality or delivery.
  • 13.5.3. No impersonation or disruptive actions (e.g., hacking).
  • 13.5.4. We may remove content or ban Users for violations.

• 13.6. Transactions

  • 13.6.1. Use approved payment methods.
  • 13.5.2. Content must be lawful and original.
  • 13.6.3. Disputes are between buyers and sellers; we may mediate but are not responsible.
  • 13.6.4. You handle applicable taxes.

• 13.7. Data

  • 13.7.1. Data use complies with our Privacy Policy and laws (e.g., GDPR, Zambian Data Protection Act).
  • 13.7.2. We may use data to improve services or send marketing (opt-out available).

• 13.8. Termination

  • 13.8.1. We may terminate Accounts for violations.
  • 13.8.2. Request deletion via support@eemo.ai.

• 13.9. Liability

  • 13.9.1. Services are "as is."
  • 13.9.2. No liability for downtime or third-party failures.
  • 13.9.3. Maximum liability is limited to fees paid in the past 12 months.

14. MERCHANTS TERMS & CONDITIONS

• 14.1. Eligibility

  • 14.1.1. Merchants must be legally registered or authorized.
  • 14.1.2. KYC verification is required.
  • 14.1.3. Compliance with local laws and our guidelines is mandatory.

• 14.2. Listings

  • 14.2.1. Listings must be legal, accurate, clear, and include truthful product descriptions.
  • 14.2.2. Prohibited items include weapons, drugs, and counterfeits.
  • 14.2.3. We may edit or remove non-compliant listings.

• 14.3. Fees

  • 14.3.1. Agree to our pricing (e.g., fees, commissions).
  • 14.3.2. Non-payment may lead to deactivation.
  • 14.3.3. See eemo.ai/merchant-pricing.

• 14.4. Fulfillment

  • 14.4.1. Ensure timely and accurate delivery via approved couriers (e.g., Zambia Post).
  • 14.4.2. Delays or failures may result in penalties or suspension.

• 14.5. Refunds

  • 14.5.1. Include refund policies in listings and handle returns per stated policies.
  • 14.5.2. We may favor customers in disputes over non-delivery or misrepresentation.
  • 14.5.3. Merchants bear refund costs unless otherwise determined.
  • 14.5.4. EEMO.AI is not responsible for refund disputes unless managing the transaction.

• 14.6. Communication

  • 14.6.1. Respond to inquiries within 24 hours.
  • 14.6.2. CRM tools are for service use only, not spam.

• 14.7. Taxes

  • 14.7.1. Merchants handle tax obligations.
  • 14.7.2. We provide summaries but are not tax agents.

• 14.8. Termination

  • 14.8.1. We may terminate for violations or fraud.
  • 14.8.2. Voluntary exit requires 30 days’ notice.
  • 14.5.3. Merchants bear refund costs unless otherwise determined.
  • 14.8.3. Blacklisted Merchants are permanently banned.

15. AGENTS TERMS & CONDITIONS

• 15.1. Role

  • 15.1.1. Agents are independent promoters, not employees, with duties including onboarding, KYC, training, and referrals.
  • 15.1.2. Agents have no authority to legally represent or bind EEMO.AI.

• 15.2. Requirements

  • 15.2.1. Complete verification and training.
  • 15.2.2. Meet performance benchmarks.

• 15.3. Earnings

  • 15.3.1. Commissions vary by activity (see eemo.ai/agent-program).
  • 15.3.2. Payouts may be audited for fraud.

• 15.4. Conduct

  • 15.4.1. No misrepresentation or unethical behavior (e.g., bribes).
  • 15.4.2. Use branding per guidelines.
  • 15.4.3. Maintain confidentiality of sensitive information.

• 15.5. Data

  • 15.5.1. Access to User data is restricted.
  • 15.5.2. Breaches may lead to legal action.

• 15.6. Termination

  • 15.6.1. Removal for non-performance or misconduct.
  • 15.6.2. Resignation requires notice.
  • 15.6.3. EEMO.AI may terminate Agent status at its discretion.

16. WAITING LIST TERMS & CONDITIONS

• 16.1. Scope

  • 16.1.1. Waiting list status offers potential early access, not a guarantee.

• 16.2. Priority

  • 16.2.1. Determined by referrals, region, or activity, based on availability.

• 16.3. Consent

  • 16.3.1. You agree to receive updates and promotional communications (opt-out via support@eemo.ai).

• 16.4. Data

  • 16.4.1. Stored securely for Platform readiness only, handled per the Privacy Policy.

17. INDEMNIFICATION

• 17.1. You agree to indemnify, defend, and hold harmless EEMO.AI, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorney’s fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

17. INDEMNIFICATION

• 18.1. EEMO.AI shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including acts of God, war, terrorism, natural disasters, strikes, or governmental actions.

19. SEVERABILITY

• 19.1. If any provision of these Terms is deemed invalid or unenforceable, it shall be severed, and the remaining provisions shall remain in full force and effect.

20. ENTIRE AGREEMENT

• 20.1. These Terms, along with the Privacy Policy and any additional terms, constitute the entire agreement between you and EEMO.AI regarding the Platform, superseding all prior agreements, whether written or oral.

21. MODIFICATIONS TO TERMS

• 21.1. EEMO.AI reserves the right to update these Terms at any time. Changes are effective upon posting on the Platform, with notification via email or in-app alerts where feasible. Continued use constitutes acceptance of the updated Terms.

23. MISCELLANEOUS

  These Terms, along with the Privacy Policy, constitute the entire agreement between you and EEMO.AI.

• 23.2. Severability

  If any provision is unenforceable, the remaining Terms remain valid.

• 23.3. Non-Waiver

  Failure to enforce any right or provision does not constitute a waiver.

• 23.4. Force Majeure

  EEMO.AI is not liable for delays or failures due to events beyond our control (e.g., natural disasters, wars).

• 23.5. Language

  These Terms are in English; translations are for convenience, and the English version governs.
